The Sprout’s LeapFrog® “What Have You Learned?” Contest (“Contest”) starts on November 9, 2009 at 12:01 AM Eastern Time (“ET”) and ends on November 22, 2009 at 11:59 PM ET (“Contest Period”).

ELIGIBILITY: Contest is open to legal residents of the 50 United States and the District of Columbia, who are of the age of majority in the jurisdiction in which they reside (and at least 18 years of age). Entries should only be submitted by a parent or legal guardian of a child or legal ward between 2 and 6 of age at time of entry. Employees, officers and directors of of Children’s Network, LLC d/b/a PBS KIDS Sprout (“Administrator”) and LeapFrog® Enterprise, Inc. (Administrator and Leapfrog collectively, “Sponsors”), their respective member companies and promotional partners, and each of their parent companies, subsidiaries, affiliates, TV production partners, advertising agencies, and promotional suppliers, and members of their immediate family (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and persons living in the same household of such employee, officers and directors whether or not related, are not eligible to enter or win. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws.

HOW TO ENTER: During the Contest Period, to enter, visit www.SproutOnline.com and follow the directions provided to submit a color photograph displaying what your preschooler’s have learned through the use of artwork. Photograph must be submitted in GIF or JPEG format and cannot be larger than one (1) MB. All entries must be received by 11:59 p.m. ET on November 22, 2009. Limit one (1) entry per person/email address/household. If more than one entry is received, only the first entry will be considered for the contest. Households who have claimed prizes for Sprout-sponsored contests, giveaways and/or sweepstakes in the past six (6) months are not eligible to enter the contest. All entries become the sole property of the Sponsors and will not be returned.

Artwork in photograph must be entrant’s preschooler’s own work. Photograph must be taken by entrant, previously unpublished, and cannot have been submitted in connection with any other contest. Entry must be in keeping with the Sponsors’ images and may not be offensive or inappropriate, as determined by the Sponsors in their sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any other third party rights. Sponsors reserve the right to disqualify any entry, that is in Sponsors’ sole discretion offensive or inappropriate, not in keeping with Sponsors’ images or that is otherwise not in compliance with these rules.

JUDGING: There will be one (1) round of judging. All eligible entries received by Sponsors will be judged by a panel of qualified judges equally on the following criteria to determine the top five (5) scoring entries (“finalists”): creativity, originality and relevance to the contest topic. In the event of a tie, an additional, “tie-breaking” judge will determine the finalist(s) based on the criteria listed herein. Sponsors reserve the right to select fewer than five (5) finalists if, in their sole discretion, they do not receive a sufficient number of eligible and qualified entries. Judges’ decisions are final and binding on all matters relating to this Contest.

WINNER NOTIFICATION: Potential five (5) finalists/winners (who will be the eligible individual submitting the entry and not the preschooler whose art is depicted) will be notified by telephone, mail and/or email on or about December 2, 2009. Notification will include date and timeframe in which the winner’s artwork will be displayed on air. Sponsors’ inability to contact potential winner within a reasonable time period or noncompliance with these Official Rules by potential winner will result in disqualification and, at Sponsors’ discretion, the prize may be awarded to the runner-up. Without further compensation, approval or notice, Sponsors reserve the right (i) to notify winner and/or award the prize in person, (ii) to record, photograph and videotape the visit and any other activities in which winner may be involved at such time and (iii) to use and permit use of said recordings, and the name, likeness, performance and statements of the winner embodied therein, in any and all media now known or hereafter created throughout the world in perpetuity. Once the winners have been fully qualified, each winner and his/her entry and child’s first name, age, city and state will be posted on www.SproutOnline.com. This is anticipated to occur the week of December 7, 2009. One winner will be announced on Sprout air each day beginning on December 7, 2009 through December 11, 2009.

PRIZES/ODDS: Odds of winning depend on the number of eligible entries received. Five (5) Winners will each receive a Sprouterrific Gift Pack, Approximate Retail Value (“ARV”) of each Sprouterrific Gift Pack: $150 which will include Sprout themed items and a LeapFrog® TagTM Junior The Amazing Little Book Explorer (Approximate Retail Value (“ARV”): $34.99). Total Prize Value for all five (5) prizes: $750.00. In addition, each winner will have their child’s artwork exhibited on Sprout on a date to be determined by Sponsors. Sponsors do not guarantee that the winning photos will be posted. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsors. No substitution, cash equivalent or transfer of a prize is permitted, except by Sponsors, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion. Any and all federal, state and local taxes on prizes as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. All prize details are at Sponsors’ sole discretion.

In the event that Sponsors require additional documentation, such documents must be signed and returned by the date and/or time indicated within such documents. If a potential winner fails to return required documentation in a timely manner, the prize will be forfeited and an alternate winner will be selected.

OWNERSHIP/USE: By submitting an entry, entrant agrees that Sponsors shall own the entry submitted (including all rights embodied therein) and that they and their designees may exploit, edit, modify, and distribute the entry and all elements of such entry, in any and all media (now known or not currently known, throughout the world in perpetuity without compensation, permission or notification to entrant or any third party.

GENERAL: By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsors and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsors, Children’s Network LLC, LeapFrog Enterprises, and their programming partners, and their respective parents, members, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest, the acceptance, possession, use or misuse of any awarded prize or Released Parties’ use of any of the rights granted herein or any use of entry submitted; and (c) to the use of his/her name, city and state of residence, photograph/video, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsors and their designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.

Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered or garbled entries or votes; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of entries, the tabulating of votes, the announcement of the prizes or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Contest or downloading materials from or use of the web site. Persons who tamper with or abuse any aspect of the Contest or website or who are in violation of these Official Rules or who attempt to undermine the legitimate operation of the Contest by cheating, deception or other unfair playing practices, or intend to annoy, abuse, threaten or harass any other entrant or Sponsors’ representatives, as solely determined by Sponsors, will be disqualified and all associated entries will be void. ANY ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. Should any portion of the Contest be, in Sponsors’ sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsors, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsors reserve the right at their sole discretion to suspend, modify or terminate the Contest and, if terminated, at their discretion, award the prize from all eligible, non-suspect entries received prior to action taken using judging procedure specified above.
